- LOSS OF PROFITS, REVENUE, OR ANTICIPATED SAVINGS;

ARISING OUT OF OR IN CONNECTION WITH: (I) YOUR USE OR INABILITY TO USE THE WEBSITE OR SERVICES; (II) ANY CONTENT OBTAINED FROM THE WEBSITE; (III) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (IV) ANY FOOD PRODUCT CONSUMED OR PURCHASED THROUGH THE SERVICES; OR (V) ANY OTHER MATTER RELATING TO THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE COMPANY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).
Some Canadian provinces and territories do not permit the exclusion or limitation of certain warranties or liabilities. To the extent that such restrictions apply in your jurisdiction, some of the above limitations may not apply to you.
10. Indemnification
You agree to defend, indemnify, and hold harmless Firehouse Subs and its respective officers, directors, employees, agents, licensors, service providers, and successors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Canada and the province in which the applicable Firehouse Subs location is situated, without regard to any conflict of law principles that would result in the application of the laws of another jurisdiction.
Subject to the dispute resolution provisions below, you agree that any legal action, suit, or proceeding arising out of or relating to these Terms or your use of the Services shall be instituted exclusively in the federal or provincial courts of competent jurisdiction located in Canada. You hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to the exercise of jurisdiction by those courts.
To the extent applicable, federal legislation governing consumer transactions, electronic commerce, food safety, and competition, including but not limited to the Competition Act (R.S.C., 1985, c. C-34), the Canada Consumer Product Safety Act (S.C. 2010, c. 21), the Food and Drugs Act (R.S.C., 1985, c. F-27), and the Electronic Commerce Protection Act (Canada's Anti-Spam Legislation — CASL, S.C. 2010, c. 23), shall apply to the Services as appropriate.
13. Dispute Resolution
13.1 Informal Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the Services, or your relationship with the Company (a "Dispute"), you agree to first attempt to resolve the matter informally by contacting Firehouse Subs at [email protected]. The Company will use reasonable efforts to resolve the Dispute informally within thirty (30) calendar days of receiving written notice of the Dispute.
13.2 Mediation
If the Dispute cannot be resolved through informal negotiation within the thirty (30) day period, either party may request non-binding mediation before initiating formal legal proceedings. Both parties agree to participate in good faith in any such mediation process.
13.3 Legal Proceedings
If mediation is unsuccessful or either party declines to participate, either party may pursue its legal remedies before the courts of competent jurisdiction in Canada, as described in Section 12 above.
13.4 Class Action Waiver
To the fullest extent permitted by applicable law, you agree that any Dispute resolution proceedings shall be conducted on an individual basis only, and not as part of a class, consolidated, or representative action. If applicable law in your province or territory does not permit this waiver, the class action waiver shall not apply to you to the extent it is prohibited.
13.5 Consumer Rights
Nothing in this Section limits your right to make a complaint to the applicable provincial consumer protection authority or regulatory body in Canada, or to seek any remedy available to you under applicable consumer protection legislation.
14. Term and Termination
These Terms are effective from the date you first access the Website or use the Services and shall remain in full force and effect for as long as you continue to use the Services, unless earlier terminated in accordance with this Section.
The Company reserves the right to suspend or terminate your access to the Website and Services at any time and for any reason, including, without limitation, if the Company reasonably believes that:
